Difference between proxy and legal representative

A proxy and a legal representative may both act on behalf of a company, but they differ in nature, scope, and responsibility.

A proxy acts by delegation within the powers defined in a power of attorney. A legal representative holds a broader institutional responsibility before the company and third parties.

For isolated acts, a power of attorney may be sufficient. For continuous, regulated, or recurring operations in Brazil, legal representation provides a more complete structure.

The correct choice avoids authority gaps, reduces operational risks, and improves corporate governance predictability.
